Our services

Acceptance of Terms
Welcome to PropMetrics, a service provided by Stratiflow LLC doing business as (“DBA”) PropMetrics (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the PropMetrics web application and related services (collectively, the “Services”), which enable real estate agents and brokerages to create private, branded investor portals for their clients, and to provide investment property search, analysis, and deal management tools. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. These Terms form a binding legal agreement between you and Stratiflow LLC.

Who May Use the Services
The Services are designed for use by two categories of users:

  • Subscribers: Licensed real estate agents, brokers, and brokerages who subscribe to PropMetrics to create and manage branded investor portals for their clients. Subscribers must be licensed in accordance with the laws of their applicable jurisdiction. By subscribing, you represent and warrant that you hold all required real estate licenses for your jurisdiction and that your use of the Services will comply with all applicable licensing laws, MLS rules, and professional conduct regulations. PropMetrics may request proof of licensure at any time and may suspend or terminate accounts where licensure cannot be confirmed.
  • End Users: The investor clients of Subscribers who access a Subscriber’s branded portal. End Users do not have a direct contractual relationship with PropMetrics. Subscribers are responsible for their End Users’ access to and use of the Services and for ensuring End Users comply with these Terms. End Users must be at least 18 years of age.

License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, such as generating property investment analyses, managing investor portals, or sharing deal pages with clients. This license does not include any rights to resell, distribute, sublicense, or create derivative works from the Services or any data provided through the Services. You may not use the Services on behalf of third parties beyond what is expressly permitted under your subscription tier.

Updates
We may update the Services from time to time, including features, pricing, or functionality. We will notify you of material changes via email or through the Services at least 30 days in advance, except for changes required by law or for security reasons. Your continued use of the Services after such notice constitutes acceptance of the updates. We do not guarantee backward compatibility for all features.

Property rights

Ownership
The Services, including all software, designs, databases, content, and intellectual property (collectively, “PropMetrics Materials”), are owned by Stratiflow LLC or its licensors and protected by copyright, trademark, and other laws. You retain ownership of any data you upload or generate through the Services (e.g., property notes, financial analysis inputs, investor contacts, or user-uploaded content), but you grant us a worldwide, royalty-free license to use, store, and process such data to provide and improve the Services. We may use aggregated, anonymized data for analytics or product improvement purposes without further notice.

MLS and Third-Party Listing Data
Property listing data displayed within the Services is sourced from licensed multiple listing service (MLS) data providers, including data made available through realty.com as broker of record, and is owned by the respective MLS organizations and listing brokers. PropMetrics licenses this data to provide search and display functionality and does not claim ownership of it. You acknowledge and agree that:

  • MLS listing data may only be used for lawful real estate purposes consistent with applicable MLS rules and IDX policies;
  • You may not scrape, harvest, export in bulk, redistribute, sell, or repurpose MLS listing data for any commercial purpose not expressly permitted by these Terms;
  • MLS data displayed through the Services is provided for informational purposes only and may not reflect current listing status, pricing, or availability;
  • PropMetrics reserves the right to restrict or remove access to MLS data at any time in order to comply with MLS rules or data provider requirements.

Pricing
The Services are offered on a subscription basis. Current pricing and plan details are available at propmetrics.io/pricing. Pricing is exclusive of applicable taxes. We reserve the right to adjust pricing upon 30 days’ written notice. Founding member rates, pilot pricing, and any promotional pricing are as specified in your subscription agreement or order confirmation and are not retroactively modified by general pricing changes. Trial periods or pilot programs may be offered at our discretion and are subject to these Terms.

Payment
All fees are billed in advance on a monthly or annual basis via credit card or other accepted methods through our third-party payment processor, Stripe. You authorize us to charge your payment method automatically for renewals. You are responsible for all applicable taxes. Annual plan payments are non-refundable except as required by law or as expressly stated in your order confirmation. Monthly plans may be cancelled at any time effective at the end of the current billing period, with no refund for the current period. Disputes must be raised within 60 days of the billing date by contacting support@propmetrics.io.

Investment Analysis Disclaimer
The investment analysis tools, ROI calculators, rental estimates, long-term projections, cash-on-cash return calculations, BRRRR analyses, and other financial data features provided through the Services are for informational and illustrative purposes only. They do not constitute financial, investment, legal, tax, or real estate advice. All projections and estimates are based on inputs you or your clients provide and on third-party data sources (including RentCast rental estimates) that may be incomplete, inaccurate, or not current.

PropMetrics makes no representations or warranties regarding the accuracy, completeness, or fitness for any particular purpose of any analysis generated through the Services. You and your clients should independently verify all financial data and consult qualified financial, legal, and real estate professionals before making any investment decision. PropMetrics is not a registered investment adviser, broker-dealer, or real estate licensee.

Third-Party Integrations
The Services integrate with third-party data and service providers including RentCast (rental estimates), Steadily (landlord insurance quotes), Stripe (payment processing), and MLS data providers. These integrations are provided as a convenience. PropMetrics does not warrant the accuracy, reliability, or availability of any third-party data or services and is not responsible for any errors, omissions, or losses resulting from your reliance on third-party content. Your use of third-party services accessed through PropMetrics is subject to those providers’ own terms and policies.

If you choose to request a landlord insurance quote through Steadily via the Services, you consent to PropMetrics sharing relevant property and contact information with Steadily for that purpose. PropMetrics is not an insurance agent or broker and does not underwrite, bind, or guarantee any insurance coverage.

Prohibited activities

Unauthorized Use
You agree not to use the Services in any manner that violates applicable laws, infringes third-party rights, or disrupts the platform. Prohibited conduct includes, but is not limited to:

  • Uploading or displaying inaccurate, misleading, or fraudulent property data or financial projections;
  • Using the Services to make unsolicited commercial solicitations to investor contacts or other users;
  • Using automated tools, bots, crawlers, or scripts to scrape or harvest listing data, user data, or any content from the Services;
  • Using the Services while unlicensed in a jurisdiction where a real estate license is required for such use;
  • Violating applicable MLS rules, IDX policies, NAR Code of Ethics, or real estate advertising regulations;
  • Misrepresenting your identity, credentials, or affiliation when using the Services or when inviting clients to a portal;
  • Using the Services in any way that could create liability for PropMetrics under RESPA, the SAFE Act, state mortgage broker laws, or similar regulations;
  • Circumventing any access controls, security features, or subscription restrictions of the Services.

Subscriber Responsibilities for Portals
Subscribers are solely responsible for all content, data, and communications within the investor portals they create and manage using the Services. This includes:

  • Ensuring all property listings, financial analyses, and marketing materials displayed in their portals comply with applicable law, MLS rules, and professional conduct standards;
  • Obtaining any required consents from their End Users for data collection and communications;
  • Ensuring that all required attribution, disclosures, and disclaimers (including listing agent attribution and broker of record disclosures) are properly displayed as required by MLS rules and applicable law;
  • Not using the Services to facilitate any unlicensed real estate brokerage, mortgage origination, or insurance sales activity.

Reverse Engineering
You may not reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Services. You shall not remove any proprietary notices, copy the Services for competitive intelligence or development purposes, or facilitate unauthorized access by others. Violations may result in immediate termination and legal action.

Services management

Support
We provide support via email at support@propmetrics.io during business hours (9 AM–5 PM PT, Monday–Friday) for technical issues or billing inquiries. We do not guarantee 100% uptime but aim for high availability of the Services. Scheduled maintenance will be communicated in advance where practicable.

Termination
You may cancel your subscription at any time by contacting us at support@propmetrics.io, effective at the end of the current billing period. We may suspend or terminate your access for violations of these Terms, failure to maintain required licensure, non-payment, or for any other reason with 7 days’ notice (or immediately in cases of material violation). Upon termination, you must cease using the Services and cease providing access to your End Users. We will delete your account data within 30 days of termination unless required by law to retain it. No refunds are issued for partial billing periods or unused portions of annual plans, except where required by law.

Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROPMETRICS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRATIFLOW LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL PROPMETRICS’ TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO PROPMETRICS IN THE THREE MONTHS PRECEDING THE CLAIM.

Indemnification
You agree to indemnify, defend, and hold harmless Stratiflow LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or MLS rule; (c) your failure to maintain required real estate licensure; (d) any content or data you upload, display, or transmit through the Services; or (e) any claim by an End User or third party arising from your operation of a branded portal.

Changes to Terms
We may revise these Terms periodically to reflect legal changes, service updates, or business needs. We will post the updated Terms on our website and notify you via email or in-app notice at least 30 days before they take effect (except for minor clarifications or changes required by law). Your continued use after the effective date signifies acceptance. If you object to revised Terms, you may terminate your subscription before the effective date.

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. These Terms, together with our Privacy Policy and any applicable order confirmation or subscription agreement, constitute the entire agreement between you and Stratiflow LLC with respect to the Services and supersede all prior agreements and understandings.
